Conflicts between partners are among the most difficult situations entrepreneurs can face. Their consequences often extend beyond ownership relations and affect the continued operation of the entire company. In this context, it is crucial to answer the question of whether a partner who has caused the dispute to escalate can ultimately gain control of a general partnership.
This topic was the subject of an interview in Dziennik Gazeta Prawna with Justyna Burska. The conversation covered legal uncertainties relating to the resolution of disputes between partners and a legal question referred to the Supreme Court.
“Not in every case will a partner who has brought about the termination of the partnership be able to count on a favourable ruling granting them the right to take over the company’s assets with an obligation to settle accounts. The Supreme Court is to clarify whether the court hearing a specific case should also examine the causes of the conflict between the partners.”
The Supreme Court’s ruling may influence the assessment of shareholders’ actions in crisis situations and set the direction for the interpretation of provisions concerning the protection of the company’s interests and those of the other shareholders.
